Petra-D End User License Agreement (EULA)

By downloading, accessing, purchasing or otherwise using Petra-D script fonts, you agree to the terms our End User License Agreement (EULA).
This End User License Agreement (hereinafter referred to as the “EULA” or the “Agreement”) is a legal agreement between you (either a natural person or a legal entity, hereinafter referred to as the “Licensee”) and Petra-D Type Foundry, represented by MgA. Petra Dočekalová, Ph.D, with the registered office at Chodounského 1399/21, 716 00 Ostrava 16, Czech Republic, and registered under ID no: 03238431, VAT: CZ9153095908 (for EU VAT purposes only). This Agreement governs your use of the font software (“Fonts” shall mean the software provided by Petra-D Type Foundry which generates typeface and typographic designs and ornaments). Font Software include all vector representations of typeface and typographic designs and ornaments created by or derived from the Font Software. Font Software includes related files, permitted copies, permitted conversions, and related documentation, and other intellectual property provided by Petra-D Type Foundry (hereinafter referred to as the “Licensor”). All other use cases require additional License agreed individually by Licensor and Licensee.
1. Acceptance of Terms
By purchasing, downloading, installing, or otherwise using the Fonts, you agree to be bound by the terms and conditions of this EULA. Any additional or specific License agreed by Licensor and Licensee is also subject to this EULA. In case of conflict between additional and/or specific License and EULA, the provisions of additional and/or specific License shall prevail EULA. If you do not agree to the terms of this Agreement, do not purchase, download, install, or otherwise use the Fonts.
2. Purchase, delivery and claim procedure
The agreement is concluded upon the confirmation of Your order and the payment of Your choice from the payment methods offered by the Licensor. The Licensor is not obliged to conclude and Agreement with You, in particular if You previously violated the EULA. The data provided by You in the order are considered true and correct. You will receive the order confirmation, including the attachment of this EULA, at the e-mail address specified in the order or from which you made the order. Subsequent changes of the order are possible only by mutual agreement of the parties. The costs incurred for the communication when concluding the Agreement are born by You, such costs do not differ from the regular rates paid by You to the provider of relevant communication services.
The Fonts are made available without undue delay upon the order confirmation (unless agreed on other term) by its delivery to Your e-mail. The Licensor’s obligation is fulfilled when the Fonts are provably sent to the respective e-mail. The Licensee acknowledges that in order to download and use the Fonts, it is necessary to have an internet connection and other suitable technical and/or software equipment necessary (compatible and interoperable) for the due operation of the format or file specified in the order confirmation. Upon delivery You shall download the Fonts and check its proper functioning within no more than thirty days. In case of one-time provision of digital content, such as the Fonts, the Licensee:
- in case of consumer is entitled to claim the defects of the Fonts within two years upon its provision,
- in case of entrepreneur is entitled to claim the defects of the Fonts within 60 days upon its provision.
The Licensor warrants the conformity and compatibility as declared in order procedure and that the Font software will perform substantially in accordance with its documentation.
To submit a warranty claim, you must, within the period stated above depending on the nature of your entity, notify the Licensor on its designated contact e-mail with sufficient information regarding your order and the claimed defect, outlining the nature of the defect or non-conformity and how it affects the operation of the Font software.
Upon receipt of a claim, the Licensor shall assess and address the complaint without further delay, no more than sixty days, to remedy where appropriate the non-conformity or replace the defective Font software (if possible). In such case the Licensee shall provide all necessary cooperation to determine whether the defect in question occurred as a result of the Licensee inadequate technical/digital environment. The Licensee acknowledges that if such cooperation is not provided or is provided insufficiently, the Licensee has according to the law no rights from the defective performance according to the consumer law. The Licensee shall upon the replacement of the defective Fonts software immediately delete any downloaded files/copies of such defective Fonts.
In situations where remediation or replacement is not feasible or fails to address the non-conformity, the Licensee may be entitled to a reduction in the purchase price or may withdraw from the Agreement and seek a full refund, subject to the severity of the non-conformity. The Licensee acknowledges that the entire, exclusive and cumulative liability of the Licensor is limited to the refund of the Licensee fee paid to the Licensor to obtain the Fonts.
The consumer rights regulated by law or this EULA do not apply to the Licensee who has concluded the Agreement as an entrepreneur – legal entity.
3. License Grant
Licensor grants Licensee a non-exclusive, non-assignable, non-transferable, worldwide, limited, terminable and perpetual License to use the purchased Fonts according to the Agreement for personal use (in case of natural person) or internal business use (in case of legal entity), subject to the type of License acquired (Desktop, Web, or App) and the number of users (employed or similarly authorised by the Licensee) or installations allowed under that License. The Font Software can be Licensed in form of OTF (OpenType File), TTF (True Type File) or WOFF, WOFF2 (Web Open Font Format) as selected in the order form.
The License is granted upon the Licensor’s order confirmation and Licensee’s due payment.
