Petra-D End User License Agreement (EULA)

By downloading, accessing, purchasing or otherwise using Petra-D script fonts, you agree to the terms our End User License Agreement (EULA).

This End User License Agreement (hereinafter referred to as the “EULA” or the “Agreement”) is a legal agreement between you (either a natural person or a legal entity, hereinafter referred to as the “Licensee”) and Petra-D Type Foundry, represented by MgA. Petra Dočekalová, Ph.D, with the registered office at Chodounského 1399/21, 716 00 Ostrava 16, Czech Republic, and registered under ID no: 03238431, VAT: CZ9153095908 (for EU VAT purposes only). This Agreement governs your use of the font software (“Fonts” shall mean the software provided by Petra-D Type Foundry which generates typeface and typographic designs and ornaments). Font Software include all vector representations of typeface and typographic designs and ornaments created by or derived from the Font Software. Font Software includes related files, permitted copies, permitted conversions, and related documentation, and other intellectual property provided by Petra-D Type Foundry (hereinafter referred to as the “Licensor”).  All other use cases require additional License agreed individually by Licensor and Licensee.
 

1. Acceptance of Terms

By purchasing, downloading, installing, or otherwise using the Fonts, you agree to be bound by the terms and conditions of this EULA. Any additional or specific License agreed by Licensor and Licensee is also subject to this EULA. In case of conflict between additional and/or specific License and EULA, the provisions of additional and/or specific License shall prevail EULA. If you do not agree to the terms of this Agreement, do not purchase, download, install, or otherwise use the Fonts.
 

2. Purchase, delivery and claim procedure

The agreement is concluded upon the confirmation of Your order and the payment of Your choice from the payment methods offered by the Licensor. The Licensor is not obliged to conclude and Agreement with You, in particular if You previously violated the EULA. The data provided by You in the order are considered true and correct. You will receive the order confirmation, including the attachment of this EULA, at the e-mail address specified in the order or from which you made the order. Subsequent changes of the order are possible only by mutual agreement of the parties. The costs incurred for the communication when concluding the Agreement are born by You, such costs do not differ from the regular rates paid by You to the provider of relevant communication services.

The Fonts are made available without undue delay upon the order confirmation (unless agreed on other term) by its delivery to Your e-mail. The Licensor’s obligation is fulfilled when the Fonts are provably sent to the respective e-mail. The Licensee acknowledges that in order to download and use the Fonts, it is necessary to have an internet connection and other suitable technical and/or software equipment necessary (compatible and interoperable) for the due operation of the format or file specified in the order confirmation. Upon delivery You shall download the Fonts and check its proper functioning within no more than thirty days. In case of one-time provision of digital content, such as the Fonts, the Licensee:

  • in case of consumer is entitled to claim the defects of the Fonts within two years upon its provision,
  • in case of entrepreneur is entitled to claim the defects of the Fonts within 60 days upon its provision.

The Licensor warrants the conformity and compatibility as declared in order procedure and that the Font software will perform substantially in accordance with its documentation.

To submit a warranty claim, you must, within the period stated above depending on the nature of your entity, notify the Licensor on its designated contact e-mail with sufficient information regarding your order and the claimed defect, outlining the nature of the defect or non-conformity and how it affects the operation of the Font software.

Upon receipt of a claim, the Licensor shall assess and address the complaint without further delay, no more than sixty days, to remedy where appropriate the non-conformity or replace the defective Font software (if possible). In such case the Licensee shall provide all necessary cooperation to determine whether the defect in question occurred as a result of the Licensee inadequate technical/digital environment. The Licensee acknowledges that if such cooperation is not provided or is provided insufficiently, the Licensee has according to the law no rights from the defective performance according to the consumer law. The Licensee shall upon the replacement of the defective Fonts software immediately delete any downloaded files/copies of such defective Fonts.

In situations where remediation or replacement is not feasible or fails to address the non-conformity, the Licensee may be entitled to a reduction in the purchase price or may withdraw from the Agreement and seek a full refund, subject to the severity of the non-conformity. The Licensee acknowledges that the entire, exclusive and cumulative liability of the Licensor is limited to the refund of the Licensee fee paid to the Licensor to obtain the Fonts.

The consumer rights regulated by law or this EULA do not apply to the Licensee who has concluded the Agreement as an entrepreneur – legal entity.
 

3. License Grant

Licensor grants Licensee a non-exclusive, non-assignable, non-transferable, worldwide, limited, terminable and perpetual License to use the purchased Fonts according to the Agreement for personal use (in case of natural person) or internal business use (in case of legal entity), subject to the type of License acquired (Desktop, Web, or App) and the number of users (employed or similarly authorised by the Licensee) or installations allowed under that License. The Font Software can be Licensed in form of OTF (OpenType File), TTF (True Type File) or WOFF2 (Web Open Font Format) as selected in the order form.

The License is granted upon the Licensor’s order confirmation and Licensee’s due payment.

4. Types of Licenses

The following types of Licenses are available for purchase through the Licensor’s e-shop at www.petra-d.com based on limitations set by this EULA or specific limitations se by the order confirmation:

Desktop License (OTF): 

Allows installation and use of the Fonts on a specific number of computers, determined by the License size purchased.

  • The Licensee may install and use the Font Software for its customary personal or internal business use only (within the legal entity by the authorised employees). The Licensee is entitled to use the Font Software in desktop-based software to create non-dynamic documents, such as images, identities, books, newspapers, magazines, and documents intended for print and screen. The Font Software may also be temporarily shared with a commercial printer or prepress facility solely for the purpose of preparing and printing the Licensee's materials, and only for the duration necessary to complete the specific project. Third parties are not allowed to actively create new documents with Font Software, as it is provided strictly for output purposes. If any modification to a document is to be made by a non-License holder, a new License must be purchased. The Licensee is responsible for ensuring that any third party involved adheres to the terms set forth in this EULA. Any use of the Font Software beyond what is explicitly permitted in this Agreement is strictly forbidden.
     

Web License (TTF, WOFF2): 

Allows embedding of the Fonts on a specific number of websites. The Licensee must provide the domain name(s) upon purchase.

  • The Licensee may install and use the Font Software for its customary personal or internal business use only (within the legal entity by the authorised employees). The Licensee is entitled to use the Font Software to embed the Font Software on one website domain owned by the Licensee with specified traffic, which shall not be exceeded unless agreed otherwise. The Licensee must provide the domain name(s) upon purchase. The Font Software must be hosted on the server associated with the licensed domain. Use of third-party font hosting services is not allowed. Any use of the Font Software beyond what is explicitly permitted in this Agreement is strictly forbidden.
     

App License (TTF, WOFF2):

Allows embedding of the Fonts in a specified number of mobile applications. The Licensee must provide the name(s) of the application(s) upon purchase.

  • The App licence extension grants the Licensee the right to embed the Font Software in other specified distributed software (mobile or desktop applications) for the purpose of styling dynamic, static, or editable text on read only basis. The Licensee undertakes to have the Font Software embedded in a secure manner such that it cannot be extracted from or accessed outside of the App. Any use of the Font Software beyond what is explicitly permitted in this Agreement is strictly forbidden. For the avoidance of doubt, a version of an App that does not have unique functionality beyond the scope of a previously released Application and is not licensed or marketed under a new name shall not be considered a new App.

 

Additional Licenses

Additional Licenses such as Packaging, Merchandising, Logo and Trademark License, E-Book, Game, Broadcasting, Streaming, and Canva / Online Design Platform must be arranged via email, as they are custom agreements with specific terms and pricing. Exclusive or Corporate Exclusivity Licenses must also be requested separately at contact@petra-d.com. 

 

Packaging License:

Allows embedding of the Fonts in applications in the design of labels, boxes, wrappers, and other packaging materials intended for distribution. 

  • This license is required when the Font is used as-is — in its original, unchanged form — directly on physical product packaging. This applies because the Font becomes a visible and recognisable part of the final product, and its usage falls outside standard Desktop licensing.
  • The Packaging License includes a Desktop License for up to five (5) users (graphic designers or employees within the Licensee’s organisation), who may install and use the Font Software in desktop-based software (OTF) for the purpose of creating packaging materials such as labels, boxes, wrappers, or similar.
  • The Licensee may install and use the Font Software for its customary personal or internal business use only (within the legal entity by the authorised employees). The Font Software may also be temporarily shared with a commercial printer or prepress facility solely for the purpose of preparing and printing the Licensee’s packaging materials, and only for the duration necessary to complete the specific project.
  • No other third-party use is permitted. Third parties are not allowed to actively create new documents with the Font Software, as it is provided strictly for output purposes. If any modification to a document is to be made by a non-License holder, a new License must be purchased. The Licensee is responsible for ensuring that any third party involved adheres to the terms set forth in this EULA. Any use of the Font Software beyond what is explicitly permitted in this Agreement is strictly forbidden.
     

Merchandising License:

Allows embedding of the Fonts in applications to design products intended for sale, such as a T-shirt, mug, tote bag or posters.

  • This license is required when the Font is used as-is — in its original, unchanged form — directly on a product intended for sale, such as a T-shirt, mug, tote bag, or poster. This applies because the Font becomes a visible and recognisable part of the final product, and its usage falls outside standard Desktop licensing.
  • The Merchandising License includes a Desktop License for up to five (5) users (graphic designers or employees within the Licensee’s organisation), who may install and use the Font Software in desktop-based software (OTF) for the purpose of creating typographic artwork printed or applied onto merchandise and commercial goods.
  • The Licensee may install and use the Font Software for its customary personal or internal business use only (within the legal entity by the authorised employees). The Font Software may also be temporarily shared with a commercial printer or prepress facility solely for the purpose of preparing and printing the Licensee’s merchandise, and only for the duration necessary to complete the specific project.
  • No other third-party use is permitted. Third parties are not allowed to actively create new documents with the Font Software, as it is provided strictly for output purposes. If any modification to a document is to be made by a non-License holder, a new License must be purchased. The Licensee is responsible for ensuring that any third party involved adheres to the terms set forth in this EULA. Any use of the Font Software beyond what is explicitly permitted in this Agreement is strictly forbidden.
     

Logo and Trademark License:

Allows the use of the Fonts in the logotypes, trademarks, and core visual branding elements, where the Font appears in its original, unchanged form as a recognisable part of the brand identity.

  • Fonts used in logos or trademarks represent a permanent and highly visible part of a brand. When a Font is used as-is — in its original, unchanged form — directly as designed, without modification, in a wordmark or corporate identity system, a Logo License is required.
  • This license grants the right to use the Font in creating registered trademarks, wordmarks, and core visual branding. The resulting artwork may be outlined and delivered to third parties, but editable font use requires additional licensing.
  • The Logo License includes a Desktop License for up to five (5) users (graphic designers or employees within the Licensee’s organisation), who may install and use the Font Software in desktop-based software (OTF) for the purpose of creating logotypes, brand assets, and corporate identity materials.
  • The Licensee may install and use the Font Software for its customary personal or internal business use only (within the legal entity by the authorised employees). The Font Software may also be temporarily shared with a commercial printer or prepress facility solely for the purpose of producing the Licensee’s materials, and only for the duration necessary to complete the specific project.
  • No other third-party use is permitted. Third parties are not allowed to actively create new documents with the Font Software. If any modification to a document is to be made by a non-License holder, a new License must be purchased. The Licensee is responsible for ensuring that any third party involved adheres to the terms set forth in this EULA. Any use of the Font Software beyond what is explicitly permitted in this Agreement is strictly forbidden.
     

Canva / Online Design Platform License:

Allows uploading and use of the Fonts within a closed organisational account on a cloud-based design platform (such as Canva, Figma, Adobe Express, etc.).

  • This license is required when the Font Software is uploaded to an online or collaborative platform (such as Canva, Figma, Adobe Express, etc.), as such environments go beyond standard Desktop use and may expose the Fonts to unauthorised users. The License permits static, export-only use of the Fonts by up to five (5) authorised users within the Licensee’s organisation.
  • Use is limited to internal projects; Fonts must not be used in editable templates accessible to clients or the public, nor made available to collaborators outside the licensed organisation. The Licensee is responsible for ensuring that any platform settings and sharing options prevent unintended distribution or editing of the Font Software. Any use of the Fonts beyond what is explicitly permitted in this Agreement is strictly forbidden.
     

5. License Scope

The price of the Fonts is determined by the nature of the Licensee, type of License and the size of the Licensee's business. The base price for the Fonts will be multiplied by a coefficient based on the size of the Licensee’s company, defined by the number of employees.

Licensee sizes are categorised as follows:

  • XS (1 employee)
  • S (2–5 employees)
  • M (6–10 employees)
  • L (11–25 employees)
  • XL (26–100 employees)
  • XXL (101+ employees)

     

6. Permitted Use, Restrictions and Indemnity

The Licensee is permitted to use the Fonts solely as specified in this Agreement and according to the scope and purpose as specified in the purchased License according to the order confirmation.

Licensee may embed the Fonts Software in PDF and other digital documents provided that is done in a secured way and read-only basis. It shall be ensured that the recipient cannot use the Font Software to edit or to create new documents (the extraction of the Font Software in whole or in part is strictly prohibited).

Licensee may not i.a.:

  • Share, sell, loan, donate, distribute, reveal, sublicense, resell or transfer in any way Fonts to any third party
  • Modify, reverse-engineer, decompile, or attempt to extract the source code of the Fonts.
  • Upload the Fonts to any server, website, or repository where third parties can access, download or otherwise extract them.
  • Use the Fonts for any illegal, defamatory, or otherwise unlawful purposes.
  • Misuse or enable unauthorised use of the Fonts.

The Licensee will defend, hold harmless and indemnify the Licensor from all damages, losses and resulting expenses in case of any violation of or contradiction to this Agreement (including any declaration or warranty made by the Licensee or the falsity hereof). The aforementioned shall apply also if any claim is made against the Licensor due or in connection with the use of the Fonts by the Licensee resulting from the use of the Fonts in violation or in contradiction of this Agreement.
 

7. Geographic and Time Scope

The License granted under this EULA is perpetual (unless terminated according to this Agreement, see article 11 below) and worldwide, allowing use of the Fonts without geographic limitations. However, the Fonts must only be used by the Licensee, and the Licensee must comply with all applicable laws in the countries where the Fonts are used.
 

8. Copyright and Intellectual Property Rights

The Fonts, Font software, contained font outlines and documentation and any of its part remain the exclusive intellectual property of the Licensor and are protected by copyright, intellectual and industrial property laws and international treaties. The Fonts are original creations, and no third party holds any rights to them. By purchasing a License, Licensee does not obtain ownership of the Fonts but only the right to use them as specified and limited in this Agreement. The Licensee may not remove, alter or modify any of the Licensor’s copyright, trademark, or other proprietary notices from the Fonts, Font Software (its structure, organisation, code, and related files, including all intellectual and industrial property rights therein such as copyright, design and trademarks rights) or incorporated in font outlines. The Font Software and all designs contained therein are protected under the Czech Copyright and other Intellectual and Industrial Property Law and relevant international laws and treaties. Any unauthorised reproduction, modification, distribution, or otherwised changed (including derivative works) and used (other than expressly permitted herein) of the Font Software is strictly prohibited, constitutes an infringement of intellectual and industrial property rights and may result in legal action.
 

9. Upgrading and Expanding Licenses

The Licensee may upgrade the License (e.g., adding additional installations or purchasing Licenses for additional usage such as Packaging or Web use) at any time. License upgrades are subject to the payment of additional fees based on the size of the Licensee’s business and the desired usage.
 

10. Exclusivity and Custom Licenses

Exclusive Licenses, Corporate Exclusivity, and custom Licenses (e.g., for Packaging, Merchandising, Logo and Trademark License, E-Book, Game, Broadcasting, Streaming, Canva / Online Design Platform) are not available for purchase through the e-shop and must be arranged separately by contacting Licensor via email at contact@petra-d.com.
 

11. Agreement withdrawal

According to the Czech law, consumers have the right to withdraw from the purchase Agreement of digital content within 14 days. However, by ticking the box and accepting to terms and conditions of this EULA during the checkout process, the Licensee expressly consents to the immediate provision of digital content (the Fonts), waiving the right to withdraw from the Agreement within this period. Confirmation of this waiver is sent via email as part of the transaction confirmation.

Additionally, consumers have the right to withdraw from the contract if:

  • the Licensor does not make the due delivery Fonts available (i) immediately after Your request, or (ii) in a period subsequently agreed upon with You,
  • the Fonts are defective and the Licensor does not remove the defects (see the claim procedure in article 2) or states (or it is obvious from the circumstances) that it is unable to remove it within a reasonable time or without significant difficulties for You.
  • the defect persists after its previous removal or if the defect is a material breach of the Agreement, which is not possible to remove.

In case of the withdrawal from the Agreement according to the consumer law or this EULA, the Licensee shall not further use the Fonts and shall immediately delete any file, copy or backup of the Fonts or its part made available by the Licensor. In the event of a justified withdrawal from the Agreement, the Licensee is entitled to the refund of the Licensee fee paid to the Licensor to obtain the Fonts.
 

12. Termination

Licensor reserves the right to terminate this Agreement with immediate access upon notification and revoke access to the Fonts with no reimbursement if the Licensee fails to comply with the terms of this EULA or its legal obligations. Upon termination, Licensee must immediately cease all use of the Fonts and destroy all copies. The termination of the Agreement shall not preclude the Licensor from claiming any compensations and damages arising of the Licensee’s breach or take any legal action.
 

13. Limitated Warranty and Liability

Unless explicitly set forth in this Agreement or by the consumer law, the Licensor makes no warranty, representation, or guarantee of any kind (express or implied) with respect to the Fonts and its non-infringement of third party rights, merchantability, or fitness for any particular purpose and where permitted by the law the Fonts are strictly provided on “as is” basis. To the maximum extent permitted by law, Licensor shall not be liable for any damages, including, but not limited to, direct, indirect, incidental, or consequential damages arising out of the use or inability to use the Fonts. Not with standing the limitations set out in this article, the maximum liability of the Licensor under this Agreement or in connection with it will not exceed the aggregate amount of Licensee fee paid to the Licensor to obtain the Fonts. Licensee acknowledges that limited liability under this Agreement represents a reasonable and fair agreement of both parties and it was duly taken into account by it during negotiations and determination of fees.
 

14. Governing Law and Dispute Resolution

This Agreement shall be governed by the laws of the Czech Republic with the exclusion of the provisions concerning the conflict of laws and the UN Convention on Contracts for the International Sale of Goods. Any disputes arising under or in connection with this Agreement shall be resolved by the courts of the Czech Republic.
 

15. Final provisions

This EULA is effective as of April 2025. The Licensor may unilaterally change this EULA. The changes do not affect the rights and obligations that arose under the previous version of the EULA (previously concluded Agreements).

This EULA is concluded in English only. EULA is archived by the Licensor and is not archived. This EULA with the order confirmation and additional/specific arrangements agreed in written by the parties constitutes the entire Agreement between the parties and supersedes all previous agreements, promises, representations and negotiations between the parties. Amendments or waivers to this Agreement, including any upgrades are only effective if confirmed in written by the Licensor.

In case of consumer complaint, you can contact the Czech Trade Inspection Authority (https://www.coi.cz/), which is competent for the out-of-court resolution of consumer disputes arising from a purchase contract, or it is possible to resolve the dispute online via a dedicated platform available at: https://ec.europa.eu/consumers/odr/main/index.cfm?event=main.home2.show&lng=CS. Out-of-court dispute resolution is initiated exclusively at the consumer's request and only if the dispute has not been resolved directly with the Licensor.

The Licensee is obliged to abide by any export restrictions and embargoes imposed according to the Czech law or any applicable export laws. The Licensee agrees that the Font software will not be shipped, transferred or exported into any country or used in any manner prohibited by the Czech law or any applicable export laws, restrictions or regulations.

If any provision of this EULA is or becomes invalid or ineffective, such invalid provision shall be replaced by a provision whose meaning is as close as possible to the invalid provision. The invalidity or ineffectiveness of any provision shall not affect the validity and effectiveness of the remaining provisions.

1. What you’re actually licensing

  1. Fonts are licensed, not sold — you’re buying the right to use them in a specific way. 
    At Petra-D, you can choose from Desktop, Web and App License. 
  2. Some uses require additional licenses, especially when fonts are used exactly as they are designed — as a visible part of a product or brand. In this case you need to purchase Packaging, Merchandising, Logo and Trademark, Canva & Online Platform use or Custom License. These licenses are not available for purchase through the e-shop and must be arranged separately by contacting Licensor via email at contact@petra-d.com.
  3. The final price depends on the type of license, number of employees and the scale of use (e.g. views, domains, etc.)
  4. All licenses are perpetual (no subscription), non-transferable, and valid worldwide. You can upgrade your license anytime if your needs grow.

 

2. Ownership

  1. Fonts are the intellectual property of the Petra-D and are protected by copyright laws. 

 

3. Restrictions

  1. Sharing, reselling, modifying, or using the fonts outside the agreed terms is strictly prohibited. You may not sell or distribute the font files, upload them fonts to shared servers or online libraries and modify or reverse-engineer the font software. Any misuse of the Fonts, the use non-compliant with the EULA, may result in immediate termination of the Agreement, compensations of any damages and/or legal action.

 

4. Refund Policy & Warranty

  1. By completing your purchase, you waive your right to a 14-day period for the agreement withdrawal as the digital content is provided immediately. We’ll refund you only in case of a verified technical issue.
  2. Fonts are provided as-is, and we don’t make promises beyond what the law requires. If something doesn’t work as expected, let us know.
